Terms of Service | VesselHaven®

Effective Date: January 1, 2026

These Terms form a legally binding agreement between you and Youbiquity, LLC d/b/a VesselHaven (“VesselHaven,” “we,” “us,” or “our”). By installing, accessing, or using the VesselHaven mobile application, any related web application, and associated services (collectively, the “Software” or “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms apply only to the VesselHaven Software and Services. If you engage third-party services, transact with other users, or use integrations offered by third parties, those activities may be governed by separate terms.

  1. Definitions

Account:  Your registered user account for the Services.

Content: Text, photos, documents, messages, checklists, tasks, records, and other materials.

User Content: Content you upload, submit, transmit, or otherwise make available through the Services.

Role: The user type and permissions assigned within the Services.

Vessel: Any watercraft associated with an Account.

Subscription: A paid plan authorizing access to certain features, vessels, users, or usage limits.

Commercial Use: Use in connection with a business or revenue-generating activity.

Personal Use: Non-commercial use for a personally owned Vessel.

  1. Scope; Effective Date

These Terms are effective when you create an Account, install the app, or first access or use the Services and remain in effect until terminated.

  1. Eligibility; Registration; Account Security

You must be at least 18 years old to use the Services. You agree to provide accurate and current information and keep it updated.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account. You must promptly notify us of any suspected unauthorized access or security incident. We may suspend or terminate your Account, reset credentials, or take other reasonable actions if we believe your Account has been compromised or is being used in violation of these Terms.

  1. License Grant

Subject to these Terms, VesselHaven grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for permitted Personal or Commercial Use in accordance with your plan and Role.

Access depends on Role permissions. You are responsible for assigning Roles appropriately.

All rights not expressly granted are reserved by VesselHaven.

  1. Subscriptions; Fees; Billing

Certain features require a Subscription. Billing is in advance on a recurring basis unless stated otherwise at checkout. Fees are non-refundable except where required by law. Taxes are your responsibility. You may cancel through Account settings, effective at the end of the billing period.

  1. Commercial Use; Licensing Compliance

Commercial Use requires an appropriate Subscription. Misrepresenting Commercial Use as Personal Use may result in suspension, required upgrades, or fees. We may review usage signals to verify compliance.

  1. Acceptable Use

You may not copy, reverse engineer, circumvent security, scrape data, upload malicious code, misuse the Services, violate laws, or infringe third-party rights.

  1. User Content; Collaboration; Data Rights

You retain ownership of your User Content. You grant VesselHaven a license to host, process, and display User Content solely to operate and improve the Services.

You are responsible for permissions granted when sharing content with other users.

We may create aggregated and de-identified data for analytics, benchmarking, product improvement, and industry insights, provided such data does not reasonably identify you, your account, or other identifiable individuals or entities.

  1. Privacy; Security

Use of the Services is subject to our Privacy Policy. We use reasonable safeguards to protect data but cannot guarantee absolute security.

  1. Third-Party Services

Third-party services are governed by their own terms. VesselHaven is not responsible for them.

  1. Support; Availability; Changes

Services are provided on an “as available” basis. We may modify features or plans. If a change materially reduces paid functionality, we may offer a pro-rated credit or replacement at our discretion.

  1. Term; Suspension; Termination

We may suspend or terminate access for violations, non-payment, risk to the platform, or legal requirements. Upon termination, your license ends.

  1. Disclaimers

Services are provided “as is.” VesselHaven does not provide maritime, mechanical, safety, or professional advice. Any checklists or recommendations are informational only.

  1. Limitation of Liability

Our total liability will not exceed the greater of the amount paid in the prior 12 months or USD $100.

  1. Indemnification

You agree to indemnify VesselHaven for claims arising from your use, content, or violations.

  1. Dispute Resolution; Arbitration

Disputes will be resolved by binding arbitration administered by the AAA. Arbitration will take place in the State of Delaware. Class actions are waived. Injunctive relief may be sought for IP misuse.

  1. Governing Law

These Terms are governed by the laws of the State of Delaware, except that the Federal Arbitration Act governs arbitration.

  1. App Store Terms

If the Application is downloaded from any third-party app marketplace or distribution platform, such platform is not a party to this Agreement, has no responsibility or support obligations with respect to the Application, and is an intended third-party beneficiary of this Agreement solely for the purpose of enforcing applicable terms.

  1. Changes to These Terms

We may update these Terms. Continued use constitutes acceptance.
